TERMS OF USE AGREEMENT
Welcome to our website. It is important that you read
this Agreement carefully. By using this site, you are
agreeing to the terms of the Agreement and will be bound
by its terms. If you do NOT agree to this TERMS OF USE
AGREEMENT, you must immediately terminate your use of
this site. For purposes of definition, in this Terms of
Use Agreement (“Agreement”) “you” and “your” shall refer
to each customer or visitor to the SouthernFilings.com
website. “We”, “us” or “our” shall refer to
SouthernFilings.com “(SF”), its contractors, agents,
representatives, employees, officers, directors and
affiliates. “Services” shall refer to all services
provided by SF.

SouthernFilings.com (“SF”) is a document filing service
for businesses or individuals wishing to form
corporations or LLCs. SF, its employees, agents or
representatives are not attorneys and DO NOT PROVIDE
LEGAL OR FINANCIAL ADVICE. The use of this site and the
information contained herein is provided for general
information only. Use of this site is not intended as a
substitute for the legal or financial advice of a
professional familiar with your particular situation.
Please consult an attorney for legal advice. This site
is provided as-is with no representations or warranties,
either express or implied, including but not limited to,
implied warranties of merchantability, fitness for a
particular purpose and noninfringement. You assume

site, including, without limitation, damages for loss of
profits, business interruption, cost of procurement of
substitute goods or services or for any claim against
you by another party. SF’s liability relating to any
product or service shall be strictly limited to the
amount paid to and received by SF for such product or
service.

not engage in the practice of law. We do not provide
legal or financial advice. Your use of the services on
this site does not create an Attorney-Client
relationship. SF strongly encourages you to seek
competent legal and/or financial advice from a
professional who is familiar with your particular
situation.
Cancellation
We seek to fully satisfy our customers. If you are not
satisfied, please contact us at 877-424-4450. If an
order is cancelled before filings have been made, a
refund will be given for the amount paid, less a $35.00
processing fee. Once filings have been made and filing
fees have been paid, any refund shall be at the sole
discretion of SF.
Order Form Entries
SF uses and relies upon the information you provide on
our order forms to complete the required state forms. It
is your responsibility to verify the accuracy of all
spelling and other information before submitting the
order. SF is not responsible for inaccuracies,
incompleteness or typographical errors on the order
forms completed by our customers. The customer shall be
responsible for any additional fees required to correct
such errors after filings have been made.
Timely Filings
SouthernFilings.com prides itself in the accuracy and
timeliness of its filings. Every effort is made to meet
customer deadlines whenever possible. However once the
filings leave our office, they also leave our control.
State filing office turnaround times vary widely and
change without notice. Holidays and peak filing seasons
may also lengthen filing times. Therefore, no guarantees are
given on filing times and effective dates. SF is not
responsible for any loss or damages that may result from
a delayed filing. In order to expedite filings, SF may
sign or electronically sign documents as your authorized
representative.
For corporations, you may elect to have your corporation
treated as a SubChapter S Corporation. This requires
Form 2553, Election by a Small Business Corporation, to
be filed with the IRS. As part of your package, SF will
complete this form for you and send it to you for
signature. SF is not responsible for misdirected, late
or lost mail which could result in the untimely filing
of Form 2553. SF will make every effort to achieve a
timely filing but will not be held responsible for any
consequence, loss or damage resulting from a late
filing.
Further, SF is not responsible for advising you or
reminding you of any maintenance requirements or
obligations you may have for your business. Such
requirements may include, but are not limited to, annual
reports, federal or state tax obligations or other
filing requirements. SF’s sole responsibility is to
prepare the requested forms. The maintenance of your
corporation or LLC is your responsibility and NOT the
responsibility of SF.
Registered Agent Services
SF arranges registered
agent services for its customers through Blumberg
Excelsior® Inc. SF and Blumberg Excelsior® Inc. are
completely independent companies and neither has any
responsibility for the business practices of the other.
These arrangements are offered as a convenience only. SF
makes no representations or warranties as to the
services offered by Blumberg Excelsior® Inc.
Non-Profit Entities
Our packages and prices for non-profit entities do NOT
include preparation of the 501(c)3 application or the
attainment of 501(c)3 status from the IRS. This step is
the sole responsibility of the customer.
Email Transmissions
You should not send confidential information to us via
email transmissions. While our online order forms are
secure and encrypted, your email transmissions are not
necessarily secure. Transmission of email is at your own
risk. You should call us with any confidential or
sensitive information.
Right of Refusal
SF, at its sole discretion, reserves the right to refuse
service to anyone for any reason. SF shall not be liable
to anyone for any loss or damages that may result from
that refusal.
Copyright
All content within this site, including but not limited
to, text, software, graphics, logos, icons and images
are the property of SF. No portion of these materials
may be used, reprinted or republished in any form
without the express written permission of SF.
Trademarks
We reserve all of our intellectual property rights in
any trade names, trademarks, service marks, logos or
other graphics used on this site which are owned by SF.
Governing Law
This Agreement is entered into in the state of Tennessee
and shall be construed in accordance with the laws of
Tennessee. You submit to the exclusive jurisdiction of
the State and Federal Courts having jurisdiction in
Shelby County, Tennessee and you waive any
jurisdictional, venue, or inconvenient forum objections
to such courts. SF is the assumed corporate name (dba)
of Carter Incorporation Service, Inc., a Tennessee
corporation.
Privacy
SouthernFilings.com provides this Privacy Statement to
demonstrate its commitment to privacy. The following
discloses our information gathering and dissemination
practices for SouthernFilings.com.
WHAT PERSONALLY IDENTIFIABLE INFORMATION IS COLLECTED?
The customer information that is collected to process
your order might include contact information (name,
mailing address, telephone number, fax number and/or
email address); corporate information (Business name and
description of business, information regarding
directors, officers, members, stockholders and
registered agent and information regarding shares of
stock and par value); and financial information (name on
account, credit card number and expiration date),
depending upon the nature of your order.
The contact information, corporate information and
financial information from the order form are used to
process your request. The customer's contact, corporate
and financial information is private and confidential.
All information is secured and maintained on-file in our
corporate office in Collierville, Tennessee and is
sometimes used to contact the customer for purposes of
completing the services requested by the customer.
Financial information that is collected is used to bill
the customer and this information is not shared with
anyone outside of our company, except the merchant bank
for the processing of credit card orders and the state
office to which the requested documents will be
submitted. Our hosting service logs IP addresses,
browser types and referred logs which are used for
internal purposes only.
We will not sell, rent, or trade any personal
information you provide during ordering. However,
SoutherFilings.com may release client account
information when we believe, in good faith, that such
release is reasonably necessary to comply with law,
prevent fraud, enforce or apply the terms of any of our
user agreements or to otherwise protect the rights,
property or safety of SouthernFilings.com, our customers
or other third parties.
Secure Site:
Order forms submitted are secured using 128 bit SSL
encryption from Concentric. Orders are through PayPal’s
shopping cart. Any e-mail submitted is not encrypted. If
you have sensitive information that you do not want to
send via e-mail, please call us.
Your Consent:
By using our site, you consent to the collection and use
of this information by SouthernFilings.com. If we decide
to change our privacy policy, we will post those changes
on this page so that you are always aware of what
information we collect, how we use it and under what
circumstances we disclose it.
